1. Scope of Services: Our services will include the provision of structural engineering consulting services, including but not limited to design, analysis, and construction support services.
2. Duration of Services: Our services will commence on the date specified in the project agreement and will continue until completion of the services or termination of this agreement.
3. Compensation: Our fee for services will be as specified in the project agreement and will be due and payable as outlined in our invoice(s).
4. Confidentiality: We will maintain the confidentiality of all confidential information disclosed to us by you and will not disclose such information to any third party without your prior written consent.
5. Intellectual Property Rights: All intellectual property rights, including but not limited to, patents, trademarks, copyrights, and trade secrets, arising from our services will be the exclusive property of Ecoden Constructions Ltd.
6. Liability: Our liability to you for any damages arising from or relating to our services will be limited to the fee paid for our services, except where such liability arises from our negligence or wilful default.
7. Termination: Either party may terminate this agreement upon written notice to the other party. Upon termination, we will promptly cease all services and return all confidential information in our possession.
8. Dispute Resolution: Any dispute arising from or relating to this agreement will be resolved through arbitration in accordance with the Arbitration Act 1996.
9. Governing Law: This agreement will be governed by and construed in accordance with the laws of England and Wales.
10. Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements, whether written or oral, relating to the subject matter of this agreement.
